By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts under the laws of your jurisdiction to use this Site. By using the Site, you represent that you meet these requirements.
Nature of services
RestaurantForSale is a commercial real estate brokerage focused on the sale and transfer of restaurant businesses in California. The Site displays listings of businesses for sale and provides tools to:
- Browse available restaurant businesses.
- Register as a prospective buyer.
- Submit a request for a confidential business valuation.
- Execute Non-Disclosure Agreements (NDAs) to access detailed listing information.
The Site is for informational purposes. Submitting a form, browsing listings, or signing an NDA does not in itself create a brokerage relationship. A formal brokerage relationship requires a separately signed agreement.
Listings information
Accuracy. Listing information (revenue, square footage, lease terms, etc.) is provided by sellers and believed to be accurate, but is not independently verified by us. All listing details should be independently verified by the prospective buyer through inspection, financial review, and consultation with appropriate professionals.
Availability. Listings may be removed, modified, or marked as "in escrow" or "sold" at any time without notice.
Confidential listings. Some listings are marked "Secret" and shown only to qualified buyers via direct outreach. Their existence may not be publicly acknowledged.
Non-Disclosure Agreement (NDA)
To view full listing details (financials, exact location, seller identity), you must execute the NDA presented on the Site. By signing, you agree that the information you receive is confidential and may not be disclosed to third parties, used to contact the seller, landlord, or staff directly, or used for any purpose other than evaluating the purchase of the business.
Your electronic signature, IP address, timestamp, and the specific listing accessed are recorded as evidence of agreement under the U.S. ESIGN Act and California UETA. Breach of the NDA may result in legal damages and injunctive relief.
User submissions
When you submit information through forms on the Site, you represent that:
- The information is accurate, complete, and current.
- You have the legal authority to submit any business information you provide as a seller.
- You are not impersonating any other person.
- You will not submit content that is unlawful, defamatory, infringing, or otherwise harmful.
No financial or legal advice
Information on the Site is general in nature. Nothing on the Site constitutes legal, financial, tax, or accounting advice. You should consult appropriate professional advisors (attorney, CPA, lender) before making any acquisition decision. We do not represent any party's interests except those of our client(s) under a formal brokerage agreement.
Intellectual property
All content on the Site (text, photos, logos, listings as compiled and presented) is the property of RestaurantForSale or its licensors and is protected by U.S. copyright law. You may not copy, reproduce, redistribute, scrape, or commercially exploit any content without our prior written consent.
Prohibited use
You agree not to:
- Use automated systems (bots, scrapers, crawlers) to access the Site without our prior written consent.
- Attempt to circumvent NDA gates to access confidential listing details.
- Use information obtained from the Site to contact sellers, landlords, or staff outside of the brokerage process.
- Interfere with the Site's security, integrity, or performance.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RESTAURANTFORSALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100 OR THE AMOUNT YOU HAVE PAID US, WHICHEVER IS GREATER.
Indemnification
You agree to indemnify and hold harmless RestaurantForSale, Ivy Guo, and our affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Site.
Governing law & disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising from these Terms or use of the Site shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
Changes to these Terms
We may modify these Terms at any time. Material changes will be reflected by an updated "Last updated" date on this page. Continued use of the Site after the change constitutes acceptance of the new Terms.

Ivy Guo is a licensed real estate broker in the State of California (DRE License #[TBD]). All brokerage services are subject to California Department of Real Estate regulations.
